Dear Sir / Madam,.

The following material changes have taken place in respect of Lodha Developers Private Limited, the Parent Guarantor for Issuer Company.

a. Change in Board constitution : Mr. Mangal Prabhat Lodha, Chairman has ceased to be a Director of the Company.

b. Change in Auditors : M/s MZSK & Associates, Chartered Accountants, a leading Chartered Accountancy firm in India and Member Firm of BDO International, have been appointed as Statutory Auditors of the Company in lieu of the present Statutory Auditors, M/s Shanker & Kapani, Chartered Accountants who have expressed their inability to continue as Statutory Auditors of the Company due to other preoccupations.
