Detailed Reason (s) for cessation
Mr. Darrell Edward Metzger ("Mr. Metzger"), who is retiring pursuant to Regulation 108 of the Company's Constitution, will not be seeking re-election as a Director of the Company at the Company's forthcoming Annual General Meeting ("AGM") to be held on 23 April 2024 to focus on personal and family commitments. Accordingly, Mr. Metzger will retire from his role as Independent Director of the Company and relinquish his position as member of the Nominating Committee upon the conclusion of the AGM.

The Company will release an updated announcement on the updated Board and the respective Committee's composition when it has been finalised.

After having interviewed Mr. Metzger and to the best of its knowledge, the Company's sponsor, PrimePartners Corporate Finance Pte. Ltd., is satisfied that save as disclosed in this announcement, there are no other material reasons for the retirement of Mr. Metzger as Independent Director of the Company.
