MC Brazil Downstream Trading S. r.l. MCBRAC, a wholly-owned subsidiary of Refinaria de Mataripe S.A. ( Acelen ), announces that approximately 94.54% of its outstanding 7.250% Senior Secured Notes due 2031 ( Notes ) was validly tendered and not validly withdrawn by the early tender payment deadline at 5:00 p.m., New York City time, on October 21, 2026, in its previously announced tender offer and consent solicitation.

MCBRAC has received the requisite noteholder consent and all other required consents. MCBRAC and The Bank of New York Mellon, as trustee, executed the supplemental indenture on October 21, 2026. The proposed amendments are expected to become operative on the early settlement date, subject to satisfaction or waiver of the applicable conditions.

Early settlement is expected on or about October 29, 2026, subject to satisfaction or waiver of the remaining conditions, including the financing condition. The tender offer and consent solicitation remains open until 5:00 p.m., New York City time, on November 4, 2026, unless extended or earlier terminated.
