On 25 September 2024, the Board of Directors approved the amendment of Article II, Sections 3 and 4; Article III (Board of Directors), Sections 2, 8 and 14; Article III (Committees) paragraphs A, C, D & E; Article IV, Sections 1 and 5, of the Amended By-Laws of Emperador Inc., which were subsequently ratified and approved by at least a majority of the stockholders of the outstanding capital stock of the Corporation during the Special Stockholders Meeting held on 14 November 2024.
