Detailed reason(s) for cessation
The Board acknowledged Mr. Khoo Tiam Hock Vernon ("Mr. Vernon Khoo")'s resignation as the Chairman and Independent Director of the Company with effect from 31 July 2026. Due to increasing time and resources devoted to his other commitments, Mr. Vernon Khoo decided to step down as the Chairman and Independent Director of the Company. Mr. Vernon Khoo is serving a 1-month notice period.

Upon Mr. Vernon Khoo's resignation, he will concurrently relinquish his roles as the Chairman of the Nominating Committee and a member of the Audit Committee of the Company. As a result, save for the Remuneration Committee, the number of members in the Audit Committee and Nominating Committee, will fall below the required minimum number of 3 members following Mr. Vernon Khoo's resignation. The Company is currently reviewing the composition of the Audit Committee and Nominating Committee and will update the shareholders in due course. The Company will endeavor to fill the vacancy within 2 months, but in any case, no later than 3 months after the effective date of Mr. Vernon Khoo's resignation.

After having interviewed Mr. Vernon Khoo and to the best of its knowledge, the Sponsor is satisfied that, save as disclosed in this announcement of cessation, there are no other material reasons for the resignation of Mr. Vernon Khoo as the Chairman and Independent Director of the Company.
