In accordance with the articles 9 and 10 of the Chilean Securities Market Law N 18,045 and the Chapter N 18-10 of the Updated Compilation of Rules for Banks we inform that the Board of Directors agreed to call an extraordinary shareholder meeting to be held on November 14, 2022 (9:00 am) in the headquarters of the company located in Avenida Costanera Sur 2710 in Santiago de Chile. The following topics will be included in the agenda: (i) reduction of the number of members of the board from eleven to seven, and reduction of the number of alternate members from two to one. (ii) the appointment of the new members of the Board if the change in the number of members is approved. (iii) implement and formalize any other agreements reached at the meeting. Note that on October 26, 2022 the CMF (Comisi n Para el Mercado Financiero) authorized Scotiabank Chile to arrange the aforementioned extraordinary meeting. The structure and composition of the Board will remain unchanged until the new members are effectively appointed.
In conformity with the General Rule N 435 and communications N 1,141 and 1,149 of the CMF the shareholder meeting will be held at the legal address of Scotiabank Chile and electronically, enabling shareholders to participate and vote remotely using the protocol defined by the Bank and used in previous shareholder meetings.
