On February 27, 2025, the meeting of the Company s Board of Directors resolved to approve the distribution of a cash dividend of NT$13.00 per common share in the total amount of NT$50,214,156,616 in respect of the 2024 financial year. On May 28, 2025, the Company decided July 6, 2025 as the record date for the determination of the shareholders entitled to the receipt of such cash dividend (the "Cash Dividend Record Date"). As a result, the Bonds cannot be converted during the period from June 11, 2025 to July 6, 2025 in accordance with Section 1.01 and Section 13.01 of the Indenture (as defined below). The adjustment to the Conversion Price cannot be calculated in accordance with Section 13.05(g) of the Indenture until the Market Value per Common Share on the Cash Dividend Record Date is available. The Company will make announcement of the adjustment to the Conversion Price due to the cash dividend in accordance with the Indenture in due course.

Unless otherwise defined herein, all capitalized terms used herein shall have the same meanings set forth in the Indenture (the Indenture ) dated September 16, 2024 between the Company and Citicorp International Limited, as trustee, relating to issuance of the Bonds.
