Detailed reason(s) for cessation
After serving on the Board of Directors for close to 9 years from the date of his appointment as Independent Director of the Company, Mr Lim Geok Ping ("Mr Lim") has decided to retire as a Director at the conclusion of the Company's Annual General Meeting on 30 April 2026 pursuant to Regulation 121 of the Company's Constitution, without seeking re-election as a Director to facilitate Board renewal.

Upon his retirement, Mr Lim will cease to be the Lead Independent Non-Executive Director, Chairman of Audit Committee and a member of Nominating and Remuneration Committees.

After having interviewed Mr Lim and to the best of its knowledge, the Company's Sponsor, SAC Capital Private Limited, is satisfied that, save as disclosed in this announcement, there are no other material reasons for the retirement of Mr Lim as an Independent Director of AnnAik Limited.

Based on the current Board composition, the Board notes that the Audit Committee will not be able to meet the minimum requirement of having 3 directors under Rule 704(7) of the Catalist Rules. Accordingly, the Board shall endeavour to fill the vacancy within 2 months, and in any case, not later than 3 months from the effective date of cessation of Mr Lim.
