NOTICE TO CERTIFICATEHOLDERS
Kuala Lumpur, 26 July 2018
Adjustments made to Exchange Property in respect of the Exchangeable Trust Certificates due 2018 exchangeable into ordinary shares of IHH Healthcare Berhad ( IHH ) ("IHH Shares") issued by Indah Capital Ltd. ("Indah") (the Certificates)

Khazanah Nasional Berhad ("Khazanah"), acting in its capacity as Wakeel, on behalf of Indah gives notice to Certificateholders (pursuant to Condition 7(h) of the Conditions of the Certificates (the "Conditions")) of adjustments to be made to the Exchange Property pursuant to the payment of a Capital Distribution in the form of a cash dividend by IHH, as further described below.

First and Final Cash Dividend

On 26 March 2018, IHH declared its first and final dividend of RM0.03 per IHH Share for the twelve-month period ended 31 December 2017 (the "Dividend"). The Dividend was paid on 18 July 2018.

Adjustment to Exchange Property

Pursuant to Condition 7(g)(2) of the Conditions of the Certificates, the Capital Distribution by way of a cash dividend payment by IHH of RM0.03 per IHH Share constitutes a Relevant Event and, accordingly, the cash attributable to the Exchange Property, being RM9,340,921.62, shall be included as part of the Exchange Property. Consequently, the Exchange Property has been adjusted to 311,364,054 IHH Shares and RM43,590,967.56 effective from 18 July 2018. The Exchange Ratio for each Certificate of S$250,000 denomination has been changed to 129,735.0223 IHH Shares and RM18,162.90 in cash.

The Wakeel wishes to remind Certificateholders that pursuant to Condition 7(a)(i), Certificateholders may exercise their Exchange Right up to 9 October 2018 being 10 Business Days prior to the Scheduled Dissolution Date. As at the close of trading on Bursa Malaysia on 24 July 2018, the closing price in respect of each IHH share is RM6.07, which is above the initial exchange price of RM4.9023 in respect of the Certificates.

Further to Condition 10(b)(ii)(B), if less than 10 per cent. in aggregate Nominal Value of the Certificates originally issued remain outstanding, the Issuer may exercise its right to redeem the Certificates at their Early Dissolution Amount on the Issuer Optional Dissolution Date. As at 24 July 2018, SGD372,680,000.00 in nominal value of Certificates remain outstanding.

All capitalized terms not otherwise defined herein have the same meanings given to them in the Conditions.

This notice should be read in conjunction with IHH's announcement to Bursa Malaysia in respect of the first and final Dividend dated 26 March 2018 and the Conditions set out in the Offering Circular dated 18 October 2013 relating to the Certificates.
