On 16 April 2025, the Board of Directors approved the amendment of Article II, Section 1; Article III (Committees) paragraphs D and E; and Article IV, Sections 1 and 2, of the Amended By-Laws of Emperador Inc. (the Corporation ).

On 09 June 2025, at least two-thirds (2/3) of the stockholders of record ratified said amendments during the Annual Stockholders Meeting.

On 15 October 2025, the Corporation received the Certificate of Filing of Amended By-Laws dated 14 October 2025 from the Securities and Exchange Commission.

Please see the attached 17-C and summary of the proposed amendments to the By-Laws.

The disclosure is amended to update the public on the approval of the Amended By-Laws by the Securities and Exchange Commission (SEC).
