Reference is made to the general announcements filed by Doosan Enerbility Co., Ltd. (the Issuer ) via the website of the Singapore Exchange Securities Trading Limited ( SGX-ST ) (i) dated July 16, 2024 regarding the contemplated spin-off and merger of its investment business with and into Doosan Robotics, Inc. ( Doosan Robotics ) pursuant to a split and merger agreement dated July 11, 2024 (the Merger Agreement, and such transaction, the Merger ), (ii) dated August 30, 2024 regarding the withdrawal of Doosan Robotics previously contemplated Comprehensive Share Swap (as defined in such announcement), (iii) dated September 11, 2024 regarding the postponement of the overall indicative timetable for the Merger and (iv) dated October 21, 2024 regarding an updated overall indicative timetable for the Merger (collectively, the Previous Merger Announcements ).

On December 10, 2024, both the Issuer and Doosan Robotics publicly disclosed in Korea that they entered into an agreement to terminate the Merger Agreement in light of external market conditions in Korea. Accordingly, all future matters relating to the Merger that were previously contemplated have been canceled.
