Sub:Approval of Unaudited Financial Results for the quarter and half year ended September 30, 2016, declaration of Interim Dividend for the FY 2016-17 and outcome of Board Meeting.

Pursuant to Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ( Listing Regulations), we enclose hereto, for your information and record, the Unaudited Standalone and Consolidated Financial Results of Indiabulls Housing Finance Limited (the Company) for the quarter and half year ended September 30, 2016, duly approved by the Board of Directors of the Company at its meeting held today i.e. October 21, 2016, which was commenced at 12.30 P.M. and concluded at 1.25 P.M
We also submit herewith a Limited Review Report dated October 21, 2016, issued by the Statutory Auditors of the Company, on the Standalone and Consolidated Financial Results of the Company for the said period, which was duly placed before the Board at the aforesaid meeting.
Further, pursuant to the applicable provisions of the Listing Regulations, we wish to inform you that the Board of Directors of the Company at its aforesaid meeting has declared an Interim Dividend of INR 9/- per equity share (on the face value of INR 2 per share) for the financial year 2016-2017, and that the record date for the purpose of determining the names of members eligible for receipt of the interim dividend will be Thursday, November 3, 2016. The dividend will be paid on or before Sunday, November 20, 2016.
Further, the Board of Directors of the Company in the aforesaid meeting has also authorised the Company to issue Non-Convertible Redeemable Debentures, upto its borrowing limits, on private placement basis, in one or more tranches, from time to time.
Pursuant to Regulation 30(2) of the Listing Regulations, please be informed that the Board of Directors of the Company, in today s meeting, has appointed Mr. Sachin Chaudhary (DIN 02016992) as Whole-time Director of the Company, effective from today, for a period of five years.
Profile of Mr. Sachin Chaudhary -

Mr. Sachin Chaudhary has been associated with the Company, since 2005, as Business Head of its Retail Mortgages. He has 20 years of mortgage industry experience spanning all operational functions. Sachin has complete operational responsibility for retail mortgage P&L. He has post graduate qualification in Finance from Centre for Management Development and an Executive MBA from Columbia Business School.

He is also on the Board of Indiabulls Capital Services Limited, Indiabulls Life Insurance Company Limited, Nilgiri Financial Consultants Limited and Indiabulls Venture Capital Trustee Company Limited.

Mr. Sachin Chaudhary does not hold any shares in the Company and he is not related any of the Directors of the Company.
