In compliance with SEC Memorandum Circular No. 6, series of 2009 and No. 19, Series of 2016, Bank of the Philippine Islands hereby submits its Revised Manual on Corporate Governance to include the following amendments as approved by the Board during its 15 September 2021 meeting:

a. Revision of Policy on Multiple Board Seats, as a result of the recent review of existing number of directorships and commitments with other companies of the members of the Board.
b. Revision of the provision on composition of membership of the Executive Committee.
c. Revision of the Personnel and Compensation Committee charter, as it is written in the Manual, to include the new provision on its oversight function with respect to implementation of the Bank s HR and remuneration policies and programs within the BPI group.
d. Amendment of the Audit Committee charter, pursuant to BSP Circular No. 969, Enhanced Corporate Governance Guidelines for BSP-Supervised Financial Institutions .
e. Revision of the Corporate Governance Committee charter, as it is written in the Manual, to include the new provision on its oversight function with respect to implementation of the Bank s corporate governance framework, policies and programs within the BPI Group.
f. Revision of the Policy on Disclosure and Transparency, as it is written in the Manual, to be consistent with other public disclosures of said policy.
g. Revision of information and editorial changes on Sustainability section.
