IENOVA ANNOUNCES THE ENTRY INTO FORCE OF A PURCHASE AND
SALE AGREEMENT FOR THE ACQUISITION OF SAAVI ENERGIAs OWNERSHIP IN ENERGIA SIERRA JUAREZ
Mexico City, February 16, 2021 - Infraestructura Energetica Nova, S.A.B. de CV, ( IEnova ), informs the market, as a follow-up to its material event filing on January 8, 2021, that today a purchase and sale agreement has entered into force, for the acquisition by IEnova, through its subsidiary Controladora Sierra Juarez, S. de R.L. de C.V., of the participation that Saavi Energia, through its affiliates Cometa Energia, S.A. de C.V., and Saavi Energia (UK) Ltd ( Saavi ), holds in Energia Sierra Juarez, S. de R.L. de C.V. ( Energia Sierra Juarez , ESJ or the Company ). The purchase price of Saavis equity is approximately USD$83 million, which is net of the corresponding amount of the Company's debt.
The transaction is expected to close during the first half of 2021 and is subject to the satisfaction of customary closing conditions, including the approvals of Mexico s Federal Antitrust Commission ( COFECE ) and the Federal Energy Regulatory Commission of the United States of America ( FERC ).
Energia Sierra Juarez is a cross-border wind generation complex located in the Municipality of Tecate, Baja California, Mexico. The first phase is an operational wind project with an installed capacity of 155 megawatts. The second phase is under construction and will have an installed capacity of 108 megawatts. ESJ also has a cross border private transmission line.
