In compliance with SEC Memorandum Circular No. 6, series of 2009 and No. 19, Series of 2016, Bank of the Philippine Islands hereby submits its Revised Manual on Corporate Governance to include the following amendments as approved by the Board during its 17 January 2024 meeting:

The following changes were incorporated into the Manual:
a. Corrected typographical errors, enhanced readability, removed redundant or outdated sections and merge similar provisions
b. Alignment of relevant provisions with BPI Amended By-Laws, Executive Committee charter and Board Self-Assessment Framework
c. Alignment with latest policy revisions of the BPI Policy on Directors and Officers Interlocking Position
d. Provisions in support of adoption of the Unanimous Consent Resolution
