Pursuant to Rule 706A of the Listing Manual of the Singapore Exchange Securities Trading Limited, Golden Agri-Resources Ltd ("GAR" and together with its subsidiaries, the "Group") wishes to announce the following in respect of the half year ended 30 June 2026: -

1. New Subsidiary

Straits Horizon Investment Holdings Pte. Ltd. ("SHIH")

Incorporation of SHIH, a wholly owned subsidiary of the Group established in Singapore, with an initial issued and paid-up share capital of US$1.00 comprising 1 share.

The principal activity of SHIH is that of investment holding.

2. Cessation of Subsidiaries

(i) GF International Holdings Pte. Ltd. ("GF")

GF, a wholly owned subsidiary of the Group established in Singapore, has been struck off from the Register of Companies.

(ii) Harford Holdings Limited ("Harford Holdings")

Harford Holdings, a wholly owned subsidiary of the Group established in British Virgin Islands ("BVI"), has been struck off from the BVI Register of Companies.

3. Merger of Subsidiaries

PT Sinar Mas Agro Resources and Technology Tbk ("SMART"), a company listed on the Indonesia Stock Exchange, and PT Perusahaan Perkebunan Panigoran ("Panigoran"), both subsidiaries of the Group incorporated in Indonesia, completed a merger with SMART as the surviving entity.

Following the merger, Panigoran ceased to exist as a separate legal entity.
