Emperador Inc. (the Company ), together with Emperador Distillers, Inc. ( EDI ), will guarantee the loan borrowed by its wholly-owned subsidiary Emperador International Ltd. ( EIL ) from Bank of China (Hong Kong) Limited and Cooperatieve Rabobank U.A., Singapore Branch as the mandated lead arrangers, underwriters and bookrunners (the MLAUBs ) and amongst others, in the principal amount of EUR310,000,000 with a tenor of 3 years (up to a maximum of 5 years if extension option is exercised). The Facility Agreement was executed today and utilization of the loan will be on November 24, 2023.

The loan shall be used to refinance the amounts outstanding under an existing facility agreement entered into by EIL as Borrower and the Company and EDI as guarantors.
