In accordance with the articles 9 and 10 of the Chilean Securities Market Law N 18,045 and the Chapter N 18-10 of the Updated Compilation of Rules for Banks we inform you the following material information of Scotiabank Chile ( The Bank ):
As it was announced on November 30th, 2021, Scotiabank Chile together with the other banks and shareholders of Operadora de Tarjetas de Cr dito Nexus S.A. (hereinafter Nexus ) reached an agreement with Minsait Payments Systems Chile S.A. (a subsidiary of the Spanish company Inda Sistemas S.A.) to sell 100% of their ownership stake in Nexus. This agreement was subject to the compliance of certain conditions including the approval of the financial regulator, Comisi n para el Mercado Financiero ( CMF ), and the approval of the anti-trust regulator Fiscal a Nacional Economica ( FNE ).
As of this date, the aforementioned conditions have been met and the transaction has been completed. Therefore, Minsait Payment Systems have completed the acquisition of 100% of outstanding shares in Nexus. The price of the transaction was CLP 8,900,682,219 (equivalent to USD 9.3 MM), excluding price adjustments that may be applied in the future according to the agreement.
