Pursuant to the approvals of the Board of Directors of Emperador Inc. (the "Company") dated November 06, 2025, authorizing the utilization of up to One Million Two Hundred Thousand (1,200,000) treasury shares, and on December 11, 2025, authorizing the utilization of an additional Twelve Million Eight Hundred Thousand (12,800,000) treasury shares for the implementation of the Company s Employee Stock Option Plan (ESOP), the Company implemented today, July 27, 2026, the sale of Five Hundred Thousand (500,000) treasury shares to a qualified employee under the ESOP.

Please refer to the disclosures on the Sale of Treasury Shares on the said dates.

Considering that the Treasury Shares previously allotted for the implementation of the ESOP have all been utilized, no additional Treasury Shares remain available for sale under such allotment. Any future sale of Treasury Shares for purposes of the ESOP or for any other purpose shall be subject to such further allotments as may be approved by the Board of Directors.
