UOL Group Limited ("UOL") wishes to announce that for the purpose of calculating the number of Shares to be allotted and issued as fully paid to Participating Shareholders pursuant to the UOL Scrip Dividend Scheme in relation to the first and final one-tier tax-exempt dividend of 15 cents per ordinary share of the Company for the financial year ended 31 December 2014 ("FY14 Dividend"), the issue price of each Share shall be S$7.50 ("Issue Price").

The Issue Price represents a discount amounting to approximately 5% to the amount which is the arithmetic average of the closing market price of the Shares over the five (5) Market Days immediately preceding 30 April 2015, being the Books Closure Date for the FY14 Dividend.
