Description (Please provide a detailed description of the event in the box below): Emperador Inc. held its annual meeting of stockholders today, 24 June 2024, conducted through remote communication. All of the members of the Board of Directors attended the meeting and at least two-thirds (2/3) of the stockholders of record attended or were represented at the said meeting.

Andrew L. Tan, Winston S. Co, Kendrick Andrew L. Tan, and Kevin Andrew L. Tan were elected to the Board as regular Directors, while Enrique M. Soriano III, Jesli A. Lapus, and Ho Poh Wah were elected to the Board as Independent Directors.

The stockholders also approved the Minutes of the Annual Stockholders Meeting held on 15 May 2023, the engagement of Punongbayan & Araullo as the Independent Auditors of the company for the current calendar year, and ratified the acts and resolutions of the Board of Directors, Board Committees and Officers since the annual stockholders meeting on 15 May 2023 until 23 June 2024.
