The Board of Directors (the Board) of Miyoshi Limited (the Company and together with its subsidiaries, the Group) wishes to announce that Huizhou Miyoshi Green Galaxy Trading Co., Ltd. (HZGG), an indirectly wholly-owned subsidiary of the Company incorporated in the People s Republic of China, has been dissolved on 28 January 2016. Following its dissolution, HZGG ceases to be a subsidiary of the Company with effect from 28 January 2016.

The dissolution of HZGG is not expected to have any material financial effect on the consolidated net tangible assets per share or consolidated earnings per share of the Group for the financial year ending 31 August 2016.

None of the Directors or controlling shareholders of the Company have any direct or indirect interest in the dissolution of HZGG, other than through their respective shareholdings in the Company.
