Informatics was incorporated in Singapore on 20 July 1983 with the name Bitec
Computer Centre Pte Ltd. It commenced operations on 15 August 1983 using the
business name Informatics Computer School. On 13 December 1988, the Company
changed its name to Informatics Hldgs Pte Ltd and to its present name when it
was converted to a public limited company on 19 March 1993.
Over the years, the Group has expanded geographically and today, through its
subsidiaries, associate companies and franchises, its operations are spread
throughout Asia, Middle East and Africa.
The principal activities of the Group comprise information technology (IT)
training and education, business training and education, and IT products,
services and other activities. The principal activities of the Company are
those of investment holding, franchisor for computer and commercial training
centres, and examination facilitators. The Company also operates under the
names Informatics International, Informatics Academy, Informatics Consulting,
Thames Management Centre International, Thames Academy, Thames International
and Computer Assisted Learning International, being sole-proprietorships
registered under the name of the Company. In 1999, the Group launched
PurpleTrain.com, an internet virtual learning university.
Please note that in connection with the Rights Issue that was undertaken by the
Company and completed on 31 December 2005 (the "Rights Issue"), a Whitewash
Waiver was granted by the Securities Industry Council of Singapore whereby Tan
Sri Dato' Seri Vincent Tan Chee Yioun ("Tan Sri") and his concert parties are
waived from the requirement to make a mandatory general offer for the Company
under Rule 14 of the Singapore Code on Take-overs and Mergers (the "Code")
arising from the acquisition by Tan Sri and his concert parties of rights
shares and/or new shares upon the exercise of warrants issued pursuant to the
Rights Issue. Further details of the Whitewash Waiver and the Rights Issue are
set out in the Circular to Shareholders dated 10 November 2005, the Offer
Information Statement of the Company dated 14 December 2005 and the Disclosure
Notice pursuant to Note 2 on Section 2 of Appendix 1 of the Code, all of which
