appoint Tianjin State-owned Capital Investment and Management Co., Ltd "TSCI" to
manage Tewoo's offshore debts (including one or more series of the Bonds and Securities)
through a series of debt management measures, which may include a potential exchange
offer. TSCI will appoint China International Capital Corporation Hong Kong Securities
Limited as Tewoo's sole advisor in relation to the management of its offshore debts.
