References are made to the announcements of the Company dated 1 June 2022 and 30 June 2022 in relation to the Scheme Meeting (the "Announcements"). Unless the context requires otherwise, capitalized terms used herein shall have the same meanings as those defined in the Announcements and the Explanatory Statement.

The Company is pleased to announce that:

(i) by an order made at the hearing held on 5 July 2022 (Cayman Islands time) (the "Scheme Sanction Order"), the Grand Court of the Cayman Islands sanctioned the Scheme; and

(ii) all of the Scheme Conditions have been satisfied and the Scheme Effective Date occurred on 5 July 2022 (Cayman Islands time). The Scheme has therefore become effective in accordance with its terms.
