Reference is made to the notice (the Prior Notice ) made by India Airport Infra (formerly known as Cliffton Limited), a limited liability company incorporated in Mauritius (the Company ) on July 16, 2024 in relation to the U.S.$450,000,000 6.25 per cent. Secured Notes due 2025 (ISIN: USV2335LAA99, CUSIP: V2335LAA9 (Regulation S); ISIN: US18684LAA61, CUSIP: 18684LAA6 (Rule 144A)) (the Notes ). Capitalised terms used but not defined herein shall have the meanings given to them in the Prior Notice.
The Company hereby announces that the proposed Non-Convertible Debentures Redemption referred to in the Prior Notice is made pursuant to section 3.07 (Redemption for Taxation Reasons) of the debenture trust deed entered into by the Non-Convertible Debentures Issuer in relation to the Non-Convertible Debentures.
