Notes to the Additional Details:

1. Proposed Compliance Placement of up to 249,000,000 New Placement Shares and up to 84,000,000 Vendor Shares.

2. The "No. of Existing Outstanding Shares" refers to the current existing share capital of the Company. Pursuant to the Proposed Share Consolidation, the number of existing outstanding shares of the Company will be 93,333,333.

3. The "New Shares Issued" refers to up to 249,000,000 New Placement Shares to be allotted and issued by the Company pursuant to the Proposed Compliance Placement.

4. The "Capital Amount-New" of HKD370,611,955 is calculated based on the assumption that (i) 249,000,000 New Placements Shares are fully allotted and issued at an Offer Price of SGD 0.24 (equivalent to HKD1.31055 based on the exchange rate on 13 November 2015) for each Placement Share, and (ii) the Proposed Acquisition, the Proposed Capital Reduction and the Proposed Cash Distribution have not been completed.
