We refer to the U.S.D. 35,931,200 4.00 per cent. convertible bonds due 2032 (ISIN: XS2200565203) (the Bonds) issued by Suzlon Energy Limited (the Company) pursuant to the trust deed between the Company and The Bank of New York Mellon, London Branch as Trustee dated 17 August 2020 (the Trust Deed).

The aggregate principal amount of the Bonds outstanding as of 22 March 2023 is U.S.D.529,338 (the Outstanding Amount). This represents 1.47 per cent. of the aggregate principal amount of Bonds originally issued on 17 August 2020. Pursuant to Condition 8.3A, if at any time the aggregate principal amount of the Bonds outstanding is less than 10% of the aggregate principal amount originally issued (including any Bonds issued pursuant to Condition 16), the Company has the option to redeem such outstanding Bonds in whole but not in part at their principal amount together with accrued but unpaid interest at the Cash Interest Rate of 1.25 per cent. per annum to such date, on the date fixed for redemption. The Company is required to give at least 30 days but not more than 60 days prior notice to the holders for such redemption.

The Company hereby gives notice to the holders of the Bonds of its intention to redeem the Outstanding Amount of the Bonds on 2 May 2023 (the Redemption Date) at their principal amount together with accrued but unpaid interest thereon at the Cash Interest Rate up to the Redemption Date as per details given in enclosed notice.
