The Issuer has partially redeemed the Notes at the Third Mandatory Partial Redemption Amount by the Third Mandatory Partial Redemption Date.

Upon payment of the Third Mandatory Partial Redemption Amount by the Third Mandatory Partial Redemption Date,
U.S. $50,000,000 in aggregate principal amount of Notes shall be cancelled and the total aggregate principal amount of the Notes shall be reduced to U.S. $270,000,000.
