NOTICE IS HEREBY GIVEN that, pursuant to section 2.10 of the Indenture, dated as of September 28, 2023, relating to the 7.500% Senior Notes due 2030 (the Notes ) by and among the Azul Investments LLP, a Delaware limited liability partnership (the Issuer ), Azul S.A. and Azul Linhas A reas Brasileiras S.A., each a corporation (sociedade an nima) organized under the laws of the Federative Republic of Brazil, as the guarantors, and UMB Bank, National Association, as trustee, registrar, transfer agent and paying agent, US$243,640,828 aggregate principal amount of Notes has been cancelled as of December 23, 2024. Accordingly, the outstanding aggregate principal of the Notes, after giving effect to the cancellation
of the Cancelled Notes, is US$126,849,376.
