Adani Electricity Mumbai Ltd. ( AEML ) refers to (i) the USD 1,000 Mn 3.949% Senior Secured Notes due 2030 issued on 5 February 2020 (the 2030 Notes ) and (ii) the USD 300 Mn 3.867% Senior Secured Notes due 2031 issued on 15 July 2021 (the 2031 Notes , collectively referred to as the Notes ).

In November 2023, AEML had concluded the tender offer of the 2030 in the aggregate principal amount of USD 120 Mn, and in June 2025, had undertaken open market repurchases of the 2030 Notes in the aggregate principal amount of USD 49.5 Mn.

In accordance with AEML s capital management plan, AEML may, subject to market conditions, undertake further similar liability management exercises, which may result in a material reduction of the outstanding amount of the respective series of Notes.
