("CEPL") and Clean Energy Investing Ltd ("CEIL"), have executed a non-binding term sheet pursuant to which CEPL will purchase part of CEIL's ownership interest in Company whereby, post such acquisition, CEPL will own a majority stake in CGEL and CEIL would remain invested for a substantial minority stake.
