On July 6, 2023, Auna S.A.A. (the Company ) redomiciled to Luxembourg by way of a merger with Auna S.A. (the Successor Issuer ), a public limited liability company (societe anonyme) incorporated and existing under the laws of the Grand Duchy of Luxembourg, with its registered office located at 46A, Avenue J.F. Kennedy, L 1855 Luxembourg, Grand Duchy of Luxembourg, registered with the Luxembourg Trade and Companies Register (Registre de Commerce et des Societes, Luxembourg) under number B267590, with Auna S.A. being the surviving entity. On July 19, 2023, the Successor Issuer entered into a Third Supplemental Indenture (the Third Supplemental Indenture ) with the guarantors party thereto and Citibank, N.A. in its capacity as Trustee, Registrar, Transfer Agent and Paying Agent in relation to the Notes.
