Subject of the Disclosure:
The Securities and Exchange Commission's (SEC) pre-effective approval of the registration, and Philippine Stock Exchange, Inc.'s (PSE) notice of approval of the listing, of the common shares of Del Monte Philippines, Inc. (DMPI), Del Monte Pacific Limited's subsidiary

Background/Description of the Disclosure:
Subject to DMPI's fulfillment of certain conditions, the SEC had favorably considered DMPI's application for the registration of up to 2,797,320,004 common shares ("Shares") to be listed and traded on the Main Board of the PSE.

In a notice dated 19 July 2021, the PSE confirmed that it has approved DMPI's application for the listing of the Shares. The PSE's approval is subject to DMPI's compliance with certain post-approval requirements set by the PSE and the other conditions and requirements provided in the pre-effective approval of the SEC. Some highlights of the indicative timeline are as follows:

Pricing and allocation of offer shares [August 11, 2021]
Notice of final offer price to the Philippine SEC and PSE [August 12, 2021]
Local Small Investors and Public Offer Period [August 16 to August 20, 2021]
Listing date and commencement of trading on the PSE [August 27, 2021]

The Company will announce, in due course, the final terms of the offer and timeline.
